Terms and Conditions for PixelsHR India

1. Acceptance of Terms

By accessing or using the PixelsHR service (“Service”), you and/or your company (“Client”) agree to be bound by these Terms and Conditions (“Agreement”). This Agreement constitutes a legally binding contract between you and PIXELSHR Ltd .

Please read these terms carefully before using the Service. By registering or using the Service, you confirm that you have the authority to accept these terms on behalf of yourself or your organisation.

2. Intellectual Property Rights

All intellectual property rights, including copyrights, trademarks, trade secrets, and database rights in the PixelsHR software, technology, and services remain the exclusive property of PIXELSHR Ltd. You are granted a limited, non-transferable, non-exclusive licence to use the Service solely for your internal business purposes.

You represent and warrant that you have obtained all necessary consents and permissions for collection, processing, and storage of personal data in accordance with applicable Indian data protection laws, including the Information Technology (Reasonable Security Practices and Procedures and Sensitive Personal Data or Information) Rules, 2011.
PIXELSHR Ltd will process Client Data only to the extent necessary to provide the Service and will handle such data in accordance with our Privacy Policy available on our website.

Our Privacy Policy is incorporated into these Terms by reference. By using the Service, you consent to our collection and use of your data as outlined in the Privacy Policy. If you disagree with the Privacy Policy, please do not use the Service.

Access to certain features or services may require payment of fees. All fees are exclusive of applicable taxes, including Goods and Services Tax (GST) as per Indian law. You agree to pay all fees as specified in your subscription or purchase agreement.

PIXELSHR Ltd aims to provide the Service with reasonable availability but does not guarantee uninterrupted or error-free service. We reserve the right to modify, suspend, or discontinue the Service or any part of it at any time without liability.

To the extent permitted by Indian law, PIXELSHR Ltd provides the Service “as is” without warranties. We disclaim all implied warranties including merchantability and fitness for a particular purpose.
PIXELSHR Ltd’s liability for any damages arising out of the use or inability to use the Service is limited to the amount paid by you in the preceding 12 months. Under no circumstances shall PIXELSHR Ltd be liable for indirect, incidental, consequential, or punitive damages.

You agree to indemnify and hold harmless PIXELSHR Ltd, its officers, employees, and agents against all claims, damages, liabilities, costs, or expenses arising from your breach of this Agreement, violation of applicable law, or misuse of the Service.

12. Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of India.
Any dispute arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of courts located in Hyderabad, India.

13. Force Majeure

PIXELSHR Ltd shall not be liable for delays or failures due to causes beyond our reasonable control including natural disasters, strikes, pandemics, government orders, or internet failures. If a force majeure event continues for more than two months, either party may terminate this Agreement with written notice.

PIXELSHR Ltd may send notices by email to your registered email address. Such notices will be deemed received 24 hours after being sent.

15. Modifications to Terms

We reserve the right to modify these Terms at any time by posting updated terms on our website or by email notification. Continued use of the Service after such modifications constitutes your acceptance of the revised Terms.

16. Assignment

You may not assign or transfer your rights or obligations under this Agreement without our prior written consent. PIXELSHR Ltd may assign this Agreement without your consent.

17. Entire Agreement

These Terms, along with our Privacy Policy and any other legally binding documents you agree to, constitute the entire agreement between you and PIXELSHR Ltd regarding the Service, superseding all prior agreements.

18. Severability

If any provision is found unenforceable, the remainder shall remain in full force and effect.
